Terms of service

The plain-English version of the contract between you and deskmy. For the binding version, the numbered sections below are authoritative.
1. Introduction
deskmy provides a virtual office platform — presence on a shared office map, conversations, meetings, the Vault knowledge library, MyDesk workspaces, and AI agents — licensed as software as a service (SaaS) and sold per seat.
These Terms of Service establish the obligations between deskmy and the individuals or companies that use the platform. Together with the Privacy Policy, they govern your access to and use of the service.
2. Acceptance
By creating an account or using the platform, you fully accept these terms and agree to observe them. Acceptance is essential to access and use any deskmy service — if you do not agree, do not use the platform.
If you use deskmy on behalf of a company, you confirm you have authority to bind that company to these terms, and 'you' refers to that company.
3. User access
We work to keep the service available 24 hours a day, 7 days a week. Access may still be interrupted, limited, or suspended for maintenance, updates, or reasons beyond our control. Except as expressly agreed in a separate SLA, the service is provided on a best-effort basis and no specific uptime is guaranteed.
You are responsible for the equipment, network, and browser needed to use the platform.
4. Registration and accounts
Access requires registration with complete, current, and accurate data. You are responsible for keeping your information up to date and for the veracity of what you provide.
Accounts are personal and non-transferable — you may not assign, sell, rent, or share your login. You are responsible for keeping your password confidential and for all activity under your account. Notify us promptly if you suspect misuse.
People under 18, or without full legal capacity, may use deskmy only with express consent of a legal guardian.
You may request cancellation of your account at any time. Cancellation is processed as soon as possible, provided there are no open charges.
5. The service
Subscriptions include a defined set of features described at the time of purchase. People and AI agents share the same seat pool, and each seat includes a monthly allowance of agent tasks.
AI agents act on your behalf inside the workspace — including searching the Vault, running tools, and contacting external services — always within the permissions and approval policies your workspace admins configure. You are responsible for agent activity you configure and approve.
Meetings and conversations may be recorded and transcribed. Recording indicators are shown to participants, and workspace admins are responsible for informing participants and obtaining any consent required by applicable law.
Guests may join meetings by link without an account; guest activity in your workspace is your responsibility.
6. AI agents and outputs
AI-generated output — summaries, transcripts, agent actions, drafts, and suggestions — is informational only and may be inaccurate, incomplete, or biased. You are responsible for reviewing and validating AI output before relying on it.
AI output is not professional advice — including legal, financial, medical, or HR advice — and must not replace the judgment of a qualified professional.
AI agents may use third-party models and services we do not control. We select providers carefully, but we are not responsible for their availability, model changes, or outputs.
Agent actions with external side effects — such as sending email or modifying third-party systems — require explicit human approval. Once approved, the resulting action is treated as an action of your workspace.
7. Trial, prices, and billing
New workspaces may start with a free trial as offered at the time of signup.
Prices are those in force at the time of purchase and are shown before checkout. We may adjust prices prospectively; changes apply to the next billing cycle after notice.
Paid plans renew automatically each billing period using the payment method on file. You authorize us to charge the amounts due according to the plan you selected. Billing details are processed and stored by our payment provider.
You may cancel at any time. Service continues until the end of the current paid cycle and no partial refunds are issued, except where required by law — including the right to cancel within 7 days of the initial purchase where applicable.
8. Suspension and termination
We may warn, suspend, or cancel accounts that violate these terms, breach user duties, or engage in fraudulent, harmful, or offensive behavior toward third parties.
Termination for violation takes effect immediately and without refund. Cancellation at your request takes effect at the end of the current billing cycle.
On termination, workspace data is handled according to the Privacy Policy and may be deleted after a limited retention window.
9. Support
Support is available through the channel inside the app and at [email protected], Monday to Friday, 9am to 6pm.
10. Responsibilities
You are responsible for: the correct and lawful use of the platform; respectful conduct toward other users; compliance with these Terms and the Privacy Policy; the protection of your own access credentials; and informing meeting participants when recording is active.
deskmy undertakes to describe the service accurately and to make commercially reasonable efforts to correct defects we are notified of. Beyond that, and subject to section 14, deskmy assumes no liability for defects, interruptions, or the results of using the service. Content posted by users is the sole responsibility of those users.
We are not responsible for external links or third-party services reached through the platform, nor for data processed by third-party tools you connect to agents or integrations.
11. Intellectual property
These terms grant you a non-exclusive, non-transferable license to access and use the platform. deskmy's brands, logos, layouts, interface design, images, text, audio, video, software, and databases remain our exclusive property.
Your content — conversations, files, recordings, and material produced in your workspace — remains yours. You grant us the limited license needed to store, process, and display it to operate the service.
If you send us feedback, ideas, or suggestions about the product, you grant us a perpetual, royalty-free license to use them without obligation to you.
12. Acceptable use
You may not use deskmy to violate laws, infringe rights, distribute illegal or offensive content, or process data you are not authorized to share.
You may not probe, scan, or test the platform's vulnerabilities, interfere with other workspaces, scrape or extract non-public data, or use the service to build a competing product.
You may not use deskmy in violation of US export control or sanctions laws — including by persons or entities on US government restricted-party lists, or in embargoed countries or regions.
13. Disclaimer of warranties
To the maximum extent permitted by law, the platform is provided "as is" and "as available", without warranties of any kind — express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or that AI-generated output will be accurate or suitable for any specific purpose.
14. Limitation of liability
To the maximum extent permitted by law, deskmy is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, lost goodwill, or business interruption — arising from or related to the use of, or inability to use, the platform.
To the maximum extent permitted by law, deskmy's total aggregate liability for any claim arising from these terms or the service is limited to the amounts you paid to deskmy in the 12 months preceding the event giving rise to the claim — or, if you have paid nothing, USD 100.
We are not liable for: actions taken by AI agents under permissions or approvals configured by your workspace; decisions made in reliance on AI-generated output; content created by users or guests; failures of third-party services, integrations, or AI model providers; or events beyond our reasonable control (force majeure).
Nothing in this section limits liability that cannot be limited by law, including liability for willful misconduct or gross negligence.
15. Indemnification
You agree to defend, indemnify, and hold deskmy harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from: your content; your use of the platform in violation of these terms or applicable law; data you process or share without authorization; and agent actions or integrations you configure or approve.
16. Changes to these terms
We may update these terms at any time. Material changes are communicated inside the app or by email, and continued use after publication constitutes acceptance.
17. General provisions
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute arising from these terms or the service will be submitted to the state or federal courts located in Delaware, unless mandatory consumer law in your country of residence provides another forum.
If any provision is held invalid, the remainder stays in force. Tolerance of a breach does not constitute a waiver. These terms, together with the Privacy Policy, are the entire agreement between you and deskmy regarding the service.
